📘User Agreement for Custody Services by Sportoner Labs Corp (EN)
1. Introduction
1.1. This User Agreement (hereinafter — the “Agreement”) is entered into between you (“User” or “You”) and Sportoner Labs Сorp., a company incorporated under the laws of the Republic of Panama (“Sportoner Labs Сorp.”, “we”, “our”), and governs your use of custodial, deposit, and withdrawal services related to the stablecoin USDT on the Binance Smart Chain (BEP-20) (collectively, the “Services”) provided through our platform or application.
1.2. By using our Services, you confirm that you have read, understood, and agree to comply with this Agreement, as well as our Privacy Policy and all applicable laws and regulations. If you do not agree with these terms, you must immediately discontinue the use of the Services.
1.3. Relationship with Other Documents. This Agreement is a special document regulating exclusively the use of custodial services for USDT (BEP-20). It does not replace or override the following primary agreements:

This Agreement is published in addition to the above documents. In the event of any conflict between this Agreement and the primary user agreements or privacy policies concerning custodial storage, deposits, withdrawals, and use of USDT (BEP-20), the provisions of this Agreement shall prevail.
1.4. Relationship with the WhitePaper. This Agreement is the primary legally binding document regulating the use of USDT on the Platform and is published in addition to the WhitePaper. In case of any conflict between this Agreement and the WhitePaper regarding custodial storage, deposits, withdrawals, and use of USDT (BEP-20), the provisions of this Agreement shall prevail.
2. Glossary
For the purposes of this Agreement, the following capitalized terms shall have the meanings set forth below:
2.1. BEP-20 — a technical standard for creating and issuing tokens on the Binance Smart Chain (BSC). All USDT operations on the Platform are executed exclusively under this standard.
2.2. WhitePaper — the project’s informational document describing its concept, technology, and development plans.
2.3. Sportoner Labs Сorp. — the operator company of the Platform, registration number 155771837, registered at: 55th street East, P.H. SL55 Building, Floor 21, Suite 3, Panama City, Republic of Panama, providing custodial USDT services on the Binance Smart Chain (BEP-20), incorporated under the laws of the Republic of Panama.
2.4. Platform — software, including the website, mobile application, and other services owned and operated by Sportoner Labs Сorp., through which the Services are provided.
2.5. User — an individual who has accepted the terms of this Agreement and gained access to the Platform’s Services.
2.6. Deposit (Funding) — the process of transferring USDT from a User’s external Blockchain (BSC) wallet to the User’s custodial wallet on the Platform.
2.7. Private Key — a unique secret string of characters that grants control over digital assets in a blockchain network. Sportoner Labs Сorp. acts as custodian of private keys for Platform wallets.
2.8. Custodial Storage — a digital asset storage model where the service provider (Sportoner Labs Сorp.) holds and manages private keys to blockchain addresses on behalf of users, while ownership of assets remains with the User.
2.9. Network Fee (Gas Fee) — a fee paid to validators of the Binance Smart Chain network for processing and confirming transactions. This fee is charged by the network, not Sportoner Labs Сorp., and is borne by the User with each deposit or withdrawal.
2.10. Crypto Wallet (External Wallet) — software (e.g., Trust Wallet, MetaMask, Binance Wallet) that allows the User to store private keys and manage digital assets (including USDT) in external blockchain networks outside the Platform.
2.11. NFT Marketplace — a section of the Platform where Users can buy and sell NFT cards for USDT.
2.12. Match Credits (MC) — an internal unit of the Platform, not a cryptocurrency. MC cannot be withdrawn from the Platform, converted into fiat currency or digital assets, and may be used exclusively within the Platform’s ecosystem.
2.13. NFT (Non-Fungible Token) — a unique digital asset (token) on the blockchain certifying ownership of a unique object or content, in this case — a game card.
2.14. Withdrawal — the process of transferring USDT from the User’s custodial wallet on the Platform to an external wallet address on the BSC (BEP-20) network specified by the User.
2.15. USDT (Tether) — a stablecoin pegged to the value of the US Dollar (USD). On the Platform, USDT is supported only in the BEP-20 standard.
2.16. Services — the set of services provided by Sportoner Labs Сorp. to the User, including custodial storage, deposits, withdrawals, and use of USDT (BEP-20) on the Platform.
2.17. Two-Factor Authentication (2FA) — an additional security measure for account access requiring a second authentication factor (e.g., a code from an authenticator app) in addition to a password.
3. Description of Services
3.1. Custodial Storage of USDT. Sportoner Labs Сorp. provides Users with digital wallet services for the storage, deposit, and withdrawal of USDT on the BEP-20 network. These Services are custodial, meaning Sportoner Labs Сorp. acts as the custodian of private keys to wallet addresses holding Users’ USDT.
3.2. Deposits and Withdrawals. A User may deposit USDT (BEP-20) into their wallet on the Platform by transferring it to the designated wallet address. Withdrawals are executed upon User instruction to the specified external wallet address on the BEP-20 network.
3.3. Purpose of Use. USDT stored in your internal wallet is intended solely for the purchase of goods and services on our Platform. Any other use may be restricted.
3.4. Difference from Non-Custodial Wallets. Your wallet on Sportoner Labs Сorp. is custodial. This differs from non-custodial wallets (e.g., Trust Wallet, MetaMask), where you solely control private keys. Sportoner Labs Сorp. controls private keys to provide Services.
3.5. Use of USDT on the Platform. By depositing USDT into your Platform account, you may use it exclusively within the functionality of Sportoner Labs Сorp., including but not limited to:
Purchasing NFTs on the internal marketplace;
Selling NFTs by listing them on the marketplace for USDT;
Upgrading NFTs by paying for Platform services to improve NFT attributes (e.g., training in the “Gym”);
Participating in tournaments and receiving USDT as prizes for victories.
3.6. Funding the USDT Balance. To deposit USDT, the User must:
Go to the “Finance” section on the Platform;
Select USDT and click “Deposit”;
Copy the provided wallet address on the BSC (BEP-20) network;
Initiate a USDT transfer from the User’s external wallet to the provided address.
The User is fully responsible for entering the correct address and choosing the compatible blockchain network (BEP-20). Transfers made via other networks (e.g., ERC-20, TRC-20) may be irretrievably lost, and Sportoner Labs Сorp. bears no responsibility for recovery.
3.7. Withdrawal of USDT. To withdraw USDT to an external wallet, the User must:
Ensure that the USDT balance is equal to or greater than the minimum withdrawal limit set by the Platform;
Go to the “Finance” section;
Select USDT, click “Withdraw”, and provide the external wallet address on BSC (BEP-20);
Confirm the transaction.
The User is fully responsible for the correctness of the withdrawal address. Blockchain transactions are irreversible. Sportoner Labs Сorp. processes withdrawal requests within a reasonable time, but the actual receipt depends on the Binance Smart Chain network load.
4. Ownership Rights and Obligations of Sportoner Labs Сorp.
4.1. Ownership Rights. All USDT transferred to your Sportoner Labs Сorp. wallet remain your sole property. Sportoner Labs Сorp. does not claim ownership rights to Users’ digital assets.
4.2. Obligations of Sportoner Labs Сorp.
To store Users’ USDT in good faith.
To ensure the functionality of deposits and withdrawals in accordance with User instructions.
To take reasonable security measures to protect Users’ assets from unauthorized access or theft.
5. Fees
5.1. Sportoner Labs Сorp. reserves the right to charge fees for USDT withdrawals from the Platform. The current fees are published on the Platform.
5.2. The User is responsible for paying all Binance Smart Chain (BEP-20) network fees (Gas fees) incurred during deposits and withdrawals. These fees are collected directly by the network and do not go to Sportoner Labs Сorp.
5.3. Platform Fees. The following fees apply for use of Platform functionality:
NFT Purchase Fee: 5% of the NFT card purchase price, charged to the buyer;
Listing Fee: a fixed fee of 0.25 USDT charged to the seller for listing each NFT card for sale;
Withdrawal Fee: a processing fee charged by Sportoner Labs Сorp. for USDT withdrawals, displayed in the Platform interface at the time of transaction.
All fees are deducted automatically at the time of the transaction.
6. Limitation of Liability and Risks
6.1. External Risks. The User understands and agrees that Sportoner Labs Сorp. is not responsible for:
Delays, losses, or inability to complete transactions caused by issues in the Binance Smart Chain network (e.g., congestion, failures);
User errors when entering withdrawal addresses. Blockchain transactions are irreversible;
Losses due to hackers or unauthorized access to the User’s account resulting from compromised credentials (login/password), unless caused by Sportoner Labs Сorp;
Changes in the market value of USDT.
6.2. User Responsibility. Sportoner Labs Сorp. is not liable for:
Loss of USDT due to User error in specifying a deposit or withdrawal address;
Financial losses due to fluctuations in the market value of NFTs purchased on the marketplace;
Inability to sell an NFT card on the marketplace;
Outcomes of tournament participation or other risk-related activities.
6.3. Limitation of Liability. The aggregate liability of Sportoner Labs Сorp. to the User for any claim shall not exceed the total amount of fees received by Sportoner Labs Сorp. from that User over the past 12 months.
6.4. Service Provision. The Services are provided “as is” and “as available.” Sportoner Labs Сorp. makes no warranties, express or implied, regarding uninterrupted operation of the Services or the absence of errors.
6.5. Internal Currency (MC). The User acknowledges and agrees that the internal game currency (Match Credits / MC) is not a cryptocurrency, has no monetary value outside the Platform, and cannot be withdrawn or converted into USDT or fiat currency. MC may only be used within the Platform ecosystem in accordance with its rules.
7. Prohibited Activities
7.1. The User is prohibited from using the Services for any illegal activity, including money laundering, terrorism financing, fraud, or tax evasion.
7.2. Sportoner Labs Сorp. reserves the right to refuse service, block a wallet, or freeze a User’s funds if we have reason to believe that the User’s activity violates this Agreement or applicable law.
8. Account Security
8.1. The User must link an external crypto wallet to use USDT functionality and ensure the security of their Platform login credentials.
8.2. Users are strongly advised to enable two-factor authentication (2FA) to protect their accounts from unauthorized access.
8.3. The User may track the history of all USDT operations in the “Finance” (“Transactions”) section and must regularly review it for suspicious activity.
8.4. Sportoner Labs Сorp. is not responsible for unauthorized access to a User’s account or loss of funds resulting from compromised credentials or external wallet security breaches.
9. Governing Law and Dispute Resolution
9.1. Governing Law. This Agreement and the relationship with Sportoner Labs Сorp. shall be governed by and construed in accordance with the laws of the Republic of Panama.
9.2. Dispute Resolution. In case of an issue, the User may contact Sportoner Labs Сorp. at [email protected]. The User must provide contact details and any relevant information and context. Sportoner Labs Сorp. will make efforts to resolve the request promptly.
If the dispute cannot be resolved through negotiations and consultations, before initiating court proceedings the User must first submit a written claim by email to the company. The company will make every effort to resolve the dispute. All disputes arising under this Agreement shall be submitted to a court of competent jurisdiction at the location of Sportoner Labs Сorp.
10. Final Provisions
10.1. Sportoner Labs Сorp. reserves the right to amend this Agreement unilaterally. Notice of changes will be posted on our Platform. Continued use of the Services after amendments constitutes acceptance of the revised Agreement.
10.2. If any provision of this Agreement is found to be invalid, this shall not affect the validity of the remaining provisions.
